This section makes it clear that by accessing or using the services provided by CoPilot Innovations LLC, you are entering into a legally binding agreement and agree to comply with the terms and conditions specified. If you do not accept these terms, you are not authorized to use the services offered by CoPilot.

2. Services Description

CoPilot Innovations LLC offers a range of technology-based solutions aimed at improving business productivity and enhancing customer engagement. This could include software applications and platforms among other services. The usage of these services is governed by the terms outlined in this agreement, as well as any additional policies that CoPilot may introduce in the future.

3. Intellectual Property

This clause asserts that all intellectual property rights associated with the services provided by CoPilot, including but not limited to software, trademarks, trade secrets, and patents, are the exclusive property of CoPilot Innovations LLC. Users are granted a limited license to use these services, which is non-exclusive, non-transferable, and can be revoked, strictly in accordance with the agreement. Upon closure of project, the Client is granted the intellectual property rights to the AI software customized to the client’s business, excluding pre-existing technology or open-source components used by CoPilot Innovations LLC.

4. Prohibited Uses

Users are prohibited from using CoPilot’s services in any manner that is illegal, infringes upon the rights of others, or is harmful. Specific prohibitions include the dissemination of viruses, engaging in fraudulent activities, and transmitting harmful content.

5. Disclaimers and Limitation of Liability

CoPilot Innovations LLC provides its services on an “as is” basis, without any warranties, and limits its liability for any damages that may arise from the use or inability to use its services. This includes direct, indirect, incidental, or consequential damages.

6. Indemnification

By agreeing to these terms, users agree to indemnify, or compensate, CoPilot Innovations LLC and its affiliates against any claims or demands that may arise from their misuse of the services, violation of the agreement, or any other action by the user that results in a legal claim against CoPilot.

7. Accuracy, Errors, and Limitations

CoPilot Innovations LLC endeavors to ensure the AI solutions operate accurately but acknowledges potential errors due to AI’s inherent limitations. Regular updates will address inaccuracies, with specific protocols for urgent corrections.

8. Modifications to the Services

CoPilot reserves the right to modify or discontinue any part of its services without prior notice, and it is not liable to the user or any third party for doing so.

9. Use of Third Party Applications

CoPilot does not endorse or assume responsibility for any third-party services that may be used/ integrated in the Company’s services. Users must adhere to the third-party terms and are responsible for any data shared with these services. Company is not liable for any issues arising from the use of third-party applications.

10. Governing Law

The agreement is governed by the laws of the jurisdiction where CoPilot Innovations LLC is registered, without regard to its conflict of law provisions.

11. Termination

Either party can terminate the agreement at any time with notice. Upon termination, the user’s right to access the services ceases immediately.
